TERMS OF SERVICE

OVERVIEW
Welcome to MotoCubby. The terms "we," "us," and "our" refer to MotoCubby. MotoCubby operates this store and website at motocubby.com, including all related information, content, features, tools (including our bike fitment selector), products, and services (the "Services"). MotoCubby is powered by Shopify.

These Terms of Service, together with the policies referenced in them (the "Terms"), describe your rights and responsibilities when you use the Services. They cover important things like fitment, installation, warranty disclaimers, and limitations of liability, so please read them.

By visiting, interacting with, or buying from the Services, you agree to these Terms and our Privacy Policy [LINK]. If you don't agree, please don't use the Services.

SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least the age of majority in your state, province, or country of residence, and that you consent to any of your minor dependents using the Services on devices you own or manage.

To use the Services or buy from us, you may need to provide information such as your email address and billing, payment, and shipping details. You represent that all information you provide is correct, current, and complete, and that you have the right to provide it.

You are responsible for keeping your account credentials secure and for all activity on your account. You may not transfer, sell, assign, or license your account to anyone else.

SECTION 2 - OUR PRODUCTS
MotoCubby products are designed and 3D printed to order in the United States. Because each part is built on demand using additive manufacturing, you should expect the following, none of which is considered a defect:
(a) Visible layer lines and minor surface texture typical of 3D printed parts;
(b) Small variations in color, finish, or surface between production runs and filament batches;
(c) Colors that look slightly different in person than they do on your screen.

We make every effort to represent our products accurately, but we don't warrant that a product's appearance will exactly match the photos, renders, or videos on the Services. Product designs are refined over time, and we may update a design, description, or specification at any time without notice. We may discontinue any product and may limit quantities offered to any person, region, or jurisdiction.

SECTION 3 - FITMENT
Precise fitment is the whole point of our products, and we take it seriously. Fitment information on the Services, including our bike fitment selector and product-page compatibility details, is based on the motorcycle's make, model, market (country or region of sale), model year, variant, battery type, and display type.

Motorcycle manufacturers sometimes change parts mid-year, sell different configurations in different markets, or use components that differ from what a model year would suggest. Aftermarket modifications (for example, lithium batteries, relocated electronics, aftermarket seats, racks, or tool kits) can also affect fitment.

Before ordering, you are responsible for confirming your motorcycle's market, model year, variant, battery type, and display type, and for selecting the correct product. Where our fitment information shows a combination as unknown or unconfirmed, we cannot guarantee fitment. If you're not sure, email us before you order at bryant@motocubby.com and we'll help you figure it out.

If a product does not fit a motorcycle that our fitment information lists as compatible, contact us and we'll make it right under our Refund Policy [LINK].

SECTION 4 - INSTALLATION AND USE
Our products install in the under-seat and pillion areas of your motorcycle. You are responsible for installing them correctly, following any instructions or installation videos we provide, and confirming before riding that:
(a) The product is properly seated and secure;
(b) Your seat is fully latched and locked;
(c) The product and its contents do not contact, pinch, chafe, or interfere with wiring, connectors, fuel lines, the battery terminals, the fuse box, or any other component;
(d) Nothing stored inside can shift into, damage, or short any electrical component.

Do not store fuel, flammable materials, or other hazardous items in our products. Do not modify our products in ways that could affect their fit or the safe operation of your motorcycle. Check your installation periodically, especially after off-road or rough-terrain riding.

Riding a motorcycle is inherently dangerous. You use our products at your own risk. MotoCubby is not responsible for damage to your motorcycle, your belongings, or any person resulting from improper installation, modification, misuse, overloading, or use on a motorcycle our fitment information does not list as compatible.

Installing our products does not alter your motorcycle's electrical or mechanical systems. However, we make no representation about how any aftermarket accessory may be viewed by your motorcycle's manufacturer or dealer for warranty purposes.

SECTION 5 - ORDERS
When you place an order, you are making an offer to purchase. We may accept or decline any order at our discretion. Your order is accepted when we confirm it and your payment has been processed.

Because products are made to order, production typically begins shortly after your order is placed. If you need to change or cancel an order, contact us as soon as possible. We'll accommodate changes when we can, but we may not be able to once production has started.

If we decline, change, or cancel an order, we will try to notify you using the email, billing address, or phone number provided with the order.

Returns and exchanges are governed by our Refund Policy [LINK].

You represent that your purchases are for your own personal use and not for commercial resale. Dealers, shops, and group buyers: email us, we're happy to talk.

SECTION 6 - PRICES AND BILLING
Prices, discounts, and promotions may change without notice. The price charged will be the price in effect when your order is placed, as shown in your order confirmation email. Unless stated otherwise, posted prices do not include taxes, shipping, customs, or import charges. For international orders, prices may be displayed in your local currency and may include applicable duties and taxes at checkout, as described in our Shipping Policy [LINK].

Prices on the Services may differ from prices offered by third parties or on other marketplaces. Promotions are governed by their own terms; if those conflict with these Terms, the promotion terms govern.

You agree to provide current, complete, and accurate purchase and payment information, and represent that (i) your payment information is correct, (ii) you are authorized to use your payment method, (iii) charges will be honored by your card issuer, and (iv) you will pay all charges at the posted prices, including applicable shipping and taxes.

SECTION 7 - SHIPPING AND DELIVERY
Our products are made to order. Estimated build times and delivery times are described in our Shipping Policy [LINK] and are estimates, not guarantees. We are not responsible for delays caused by carriers, customs processing, or events outside our control. Title and risk of loss pass to you when we hand the order to the carrier, except where applicable law provides otherwise.

International orders may be processed by our international checkout partner, Global-e, which may act as the seller of record for those orders. If so, Global-e's terms will also apply to that transaction and will be shown to you at checkout.

SECTION 8 - WARRANTY
We stand behind what we make. If your product arrives damaged, has a manufacturing defect, or does not fit a motorcycle our fitment information lists as compatible, contact us and we'll repair, replace, or refund it as described in our Refund Policy [LINK].

This commitment does not cover normal wear, cosmetic characteristics described in Section 2, damage from improper installation, modification, misuse, crashes, overloading, or exposure to conditions beyond normal motorcycle use, or products installed on motorcycles not listed as compatible.

SECTION 9 - INTELLECTUAL PROPERTY
The Services, including trademarks, text, images, graphics, videos (including installation videos), product designs, 3D models, product reviews, and the design, selection, and arrangement of all of it, are owned by MotoCubby or its licensors and are protected by U.S. and international intellectual property laws.

You may use the Services for personal, non-commercial purposes only. You may not reproduce, scan, reverse-engineer, copy, 3D model, print, distribute, sell, or create derivative works of our products, product designs, or content without our prior written permission. Purchasing a product does not grant you any license to reproduce its design.

MotoCubby's name, logos, product names (including Scout, Nomad, and Drifter), designs, and slogans are trademarks of MotoCubby. You may not use them without our written permission.

SECTION 10 - THIRD-PARTY TRADEMARKS AND NON-AFFILIATION
MotoCubby is an independent company. We are not affiliated with, endorsed by, or sponsored by Yamaha Motor Co., Ltd. or any other motorcycle manufacturer. Yamaha, Ténéré, Ténéré 700, World Raid, and all other motorcycle brand, model, and variant names are trademarks of their respective owners and are used on the Services solely to describe fitment and compatibility. Shopify's name and marks are trademarks of Shopify.

SECTION 11 - OPTIONAL TOOLS
We may provide access to third-party tools that we don't monitor or control. These are provided "as is" and "as available," without warranties or endorsement, and your use of them is at your own risk and subject to the third party's terms.

New features and tools we add to the Services, including fitment tools, are also subject to these Terms.

SECTION 12 - THIRD-PARTY LINKS
The Services may link to third-party websites and content, including social media platforms and video hosts. We aren't responsible for third-party content, products, or services, and we aren't liable for any harm related to your use of them. Questions or complaints about third-party products or services should go to that third party.

SECTION 13 - REVIEWS, PHOTOS, AND FEEDBACK
We love hearing how our products work on real bikes. If you submit reviews, ratings, photos, videos, ideas, suggestions, or other content to us, including by tagging MotoCubby on social media or emailing us (collectively, "Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, and display that Feedback in any medium, including in marketing. We'll credit you where practical. If you'd like something you shared removed from our marketing, email us and we'll take it down going forward.

You represent that: (i) you own or have the rights to your Feedback; (ii) you have disclosed any compensation, free product, or incentive received in connection with a review; and (iii) your Feedback is truthful and complies with these Terms. We are not obligated to keep Feedback confidential, pay for it, or respond to it.

We may, but are not required to, monitor, edit, or remove Feedback we determine to be unlawful, offensive, misleading, or in violation of anyone's rights or these Terms. We do not remove or suppress genuine reviews because they are negative.

You are responsible for your Feedback and its accuracy. You may not use a false email address, impersonate anyone, or mislead us or others about the origin of Feedback.

SECTION 14 - ERRORS, INACCURACIES, AND OMISSIONS
The Services may occasionally contain errors, inaccuracies, or omissions, including in product descriptions, fitment information, pricing, promotions, shipping charges, transit times, and availability. We may correct them and update information, or cancel affected orders, at any time without prior notice, including after you've placed an order. If we cancel an order for this reason, we'll refund any amount you paid.

SECTION 15 - PROHIBITED USES
You may use the Services for lawful purposes only. You may not use the Services: (a) for any unlawful or malicious purpose; (b) to violate any law or regulation; (c) to infringe our intellectual property or anyone else's; (d) to harass, abuse, defame, or intimidate any person; (e) to submit false or misleading information, including fake reviews; (f) to send spam or unsolicited advertising; (g) to impersonate any person or entity; or (h) in any way that restricts others' use of the Services or could harm MotoCubby, Shopify, or other users.

You also agree not to: (a) upload viruses or malicious code; (b) copy, resell, or exploit any part of the Services, including our fitment data; (c) collect or track others' personal information; (d) phish, pharm, or pretext; (e) use robots, spiders, scrapers, AI agents, or other automated means to access, copy, or extract data from the Services, except for search engines indexing the Services in accordance with our robots.txt file; or (f) bypass or circumvent any security features, robot exclusion headers, or access restrictions.

We may suspend or terminate your access at any time if we determine you've violated these Terms.

SECTION 16 - AGENTS
16.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity, without direct supervision.
16.2 No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with Section 16.4. No Agent may access, use, or interact with the Services if we have requested that it refrain from doing so.
16.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with the Services.
16.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose the Agent's name by including "Agent/[agent name]" in the user agent string; (ii) not conceal or obscure that interactions are from an Agent, including by mimicking human behavior or completing or circumventing CAPTCHAs or other measures intended to distinguish humans from computers; (iii) respond truthfully to any question or prompt asking whether interactions are coming from a human or a computer; and (iv) not circumvent any measure intended to block, limit, or control Agent access.

SECTION 17 - RELATIONSHIP WITH SHOPIFY
MotoCubby is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with MotoCubby (or, for certain international orders, with our international checkout partner as described in Section 7). By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and MotoCubby, including any injury, damage, or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with MotoCubby.

SECTION 18 - PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy [LINK], and certain personal information may be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and with third parties (including payment, analytics, and international checkout providers) that may be located in countries other than where you live. See our Privacy Policy [LINK] for details.

SECTION 19 - TERMINATION
We may terminate these Terms or your access to the Services at any time, in our sole discretion, without notice. You remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Intellectual Property; Third-Party Trademarks and Non-Affiliation; Reviews, Photos, and Feedback; Termination; Disclaimer of Warranties; Limitation of Liability; Indemnification; Severability; Waiver and Entire Agreement; Assignment; Governing Law; Privacy Policy; and any other provisions that by their nature should survive.

SECTION 20 - DISCLAIMER OF WARRANTIES
Information on the Services, including fitment information and installation guidance, is provided for general informational purposes. While we work hard to keep it accurate, we do not warrant that it is complete or error-free, and you are responsible for confirming fitment for your specific motorcycle as described in Section 3.

EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR OUR REFUND POLICY, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 21 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL MOTOCUBBY, OUR OWNERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCT, INCLUDING DAMAGE TO YOUR MOTORCYCLE OR ITS CONTENTS, EVEN IF ADVISED OF THEIR POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO A PRODUCT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THAT PRODUCT.

NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD, OR UNDER MANDATORY CONSUMER PROTECTION LAWS IN YOUR COUNTRY OF RESIDENCE.

SECTION 22 - INDEMNIFICATION
You agree to indemnify, defend, and hold harmless MotoCubby, Shopify, and our respective affiliates, partners, employees, agents, contractors, licensors, and service providers from any third-party losses, damages, liabilities, or claims, including reasonable attorneys' fees, arising out of (1) your breach of these Terms or the policies they incorporate, (2) your violation of any law or the rights of a third party, or (3) your improper installation, modification, or misuse of any product.

We will notify you of any indemnifiable claim, though failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such a claim at your expense, but will not settle any claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense of indemnified claims.

SECTION 23 - SEVERABILITY
If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted by law, and the unenforceable portion will be severed without affecting the remaining provisions.

SECTION 24 - WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms and any policies or operating rules posted on the Services constitute the entire agreement between you and us regarding the Services and supersede any prior agreements, communications, and proposals, including prior versions of these Terms. Ambiguities will not be construed against the drafting party.

SECTION 25 - ASSIGNMENT
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent; any attempt to do so is void. We may assign or transfer these Terms without your consent or notice.

SECTION 26 - GOVERNING LAW
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. You and MotoCubby consent to the exclusive jurisdiction and venue of the state and federal courts located in San Diego County, California.

If you are a consumer residing in the European Union, the United Kingdom, Australia, or another jurisdiction that grants you mandatory consumer protections, nothing in this section deprives you of the protection of those laws or your right to bring a claim in the courts of your country of residence.

Headings are for convenience only and do not limit or affect these Terms.

SECTION 28 - CHANGES TO TERMS OF SERVICE
You can review the current version of these Terms at any time on this page. We may update, change, or replace any part of these Terms by posting changes to the Services. We will notify you of material changes as required by applicable law, and changes take effect on the date specified. Your continued use of the Services after changes are posted means you accept them. The Terms in effect when you placed an order apply to that order.
